Gray Reed announces that it served as legal counsel to the shareholders of EverLine, a provider of recurring mission-critical infrastructure services, in its recent sale from First Reserve, a global private equity investment firm, to Cogenuity Partners.
The transaction positions EverLine, now part of Cogenuity’s portfolio, to accelerate growth, expand into new markets and continue developing proprietary digital technologies that enhance the safety and compliance of critical infrastructure operations.
We appreciate the opportunity to counsel EverLine and First Reserve in a transaction that supports EverLine’s continued growth and innovation,” said Brock Niezgoda, Partner and Leader of Gray Reed’s Corporate/M&A Practice. “Our team is proud to have played a role in helping EverLine expand its impact across industries that depend on safe, reliable and compliant infrastructure operations.”
With its headquarters in Houston, Texas, EverLine provides services that support the safe and reliable operation of essential infrastructure. Its offerings span compliance management, operational technology, control center operations, SCADA systems and cybersecurity. Leveraging deep technical expertise and proprietary tools, EverLine ensures that customers across industries—from utilities to ports to renewable energy operators—meet regulatory requirements while operating efficiently and securely.
Gray Reed’s transaction team was led by Brock Niezgoda, Constanza Recchini, Allie Moulton and Gunner West with Austin Carlson and Max Van Benschoten advising on tax matters.
